Service Agreement: NCA Digital Solutions
1. Scope of Services (Efficiency & Automation)
Bespoke Systems Development: The Consultant will design and develop custom automation systems using Google Apps Script and Google Workspace to reduce manual administration and optimise business workflows.
Cloud-Native Transition: Strategic guidance and implementation for transitioning from legacy environments to high-efficiency, cloud-native workflows.
Hardware Optimisation: Professional configuration of Google Workspace-optimised hardware, such as Asus Chromebook Plus models, to support secure and efficient operations.
The NCA Mastery Series: Delivery of bespoke staff training focused on cloud productivity and the effective use of newly implemented systems.
Exclusions: This agreement strictly excludes physical hardware repair, electrical or cabling work, and support for any legacy software or Windows applications not explicitly listed in the Statement of Work (SOW).
2. Limitation of Liability and Infrastructure
Infrastructure Exclusion: The Consultant provides systems built upon Google Workspace and Google Apps Script. The Client acknowledges that the Consultant does not "directly control" the underlying cloud infrastructure or internet service providers. Consequently, the Consultant shall not be liable for any losses or business interruptions arising from the failure, downtime, or service degradation of third-party platforms.
Total Financial Cap: The Consultant’s total liability for any covered claim arising from this agreement (whether in contract, tort, or negligence) shall not exceed the Limit of Indemnity provided by the Consultant's Professional Indemnity insurance policy.
Exclusion of Indirect Loss: The Consultant shall not be liable for any trading loss, loss of profit, loss of business, or consequential financial loss.
Statutory Liability: Nothing in this agreement excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
3. Data Protection & AI (UK GDPR 2026)
Roles: The Client remains the Data Controller and the Consultant acts as the Data Processor in accordance with the UK Data Protection Act 2018 and UK GDPR.
AI Disclosure: The Consultant uses AI-assisted tools and Generative AI (such as Google Gemini) to optimise system logic and workflow analysis. Every final deliverable is reviewed, verified, and edited by a human consultant to ensure professional standards and accuracy.
Data Security: No client-sensitive personal data will be used to train external AI models. We utilise the "Business" tier of Google Workspace, ensuring data remains within a private, secure vault.
4. Intellectual Property (IP)
Client Ownership: Once fees are paid in full, the Client owns the rights to the specific custom scripts and bespoke project configurations created for their internal use.
Consultant Ownership: The Consultant retains all rights to its pre-existing "Background IP," including core frameworks and proprietary methodology.
Third-Party IP: Use of Google Workspace products is subject to Google’s own licensing terms and conditions.
5. Fees & Payment
Fixed Fee: Services are provided for a fixed fee as outlined in the SOW.
No Hidden Surprises: We do not charge hidden retainers. Any work requested outside the original SOW will be quoted and agreed upon separately.
Disputed Fees: In the event of a fee dispute, the Consultant may, at its discretion and in accordance with its insurance terms, settle the dispute by waiving outstanding fees in exchange for written confirmation that the Client will not pursue further claims
